Sub: Relaxation of Regulation 33(1)(c) of SEBI (Listing obligations and Disclosure Requirements) Regulations, 2015.

SEBI, is in receipt of representations requesting for relaxation of the requirements of Regulation 33(1) (c) of SEBI (Listing obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) for the quarter ending December 31, 2015 and quarter and financial year ending March 31, 2016 for all such listed entity which had exercised the option of preparing consolidated financial statements under IFRS  for the first quarter of FY 2015-16.

The issues raised in the representation have been considered by SEBI and the following may be noted:

a. The financial results for the quarters ending December 2015 and March 2016 and year ending March 2016 may be filed under IFRS by such listed entities, as per the dates specified in the Listing Regulations.

b. The relaxation granted is without any prejudice to the requirements of the Companies Act, 2013 w.r.t. the reporting of Financial Statements.

3. You are advised to take a note of the aforesaid relaxation granted by SEBI and also to inform all such companies appropriately.
